1. Acceptance of Terms

By accessing or using our Website and Services, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

We provide an online platform that allows users to:

  • Create and send invoices to their customers.
  • Record income and expenses for their businesses.
  • Synchronize data with Intuit QuickBooks when you connect your account.
  • Generate payment links through Stripe for invoice payments.

3. User Accounts

  • Registration: To access certain features of our Services, you must register for an account by providing your email, first name, province, and occupation.
  • Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Account Management: You may edit or delete your personal and business information through your account settings.

4. Subscription and Payment

  • Subscription Model: Our Services are offered on a subscription basis with various plan options that may change from time to time.
  • Free Trial: We offer a 30-day free trial to every new user. During the trial period, you have full access to all features of the Services. At the end of the trial period, you must select a paid subscription plan to continue using the Services.
  • Payment Processing: Payments are processed securely through Stripe. We do not store your payment information.
  • Post-Trial Access: If you do not continue with a paid subscription plan after the trial period ends, you will lose access to certain features and will be unable to add new forms or utilize specific functionalities of the Services.
  • Cancellation Policy: You may cancel your subscription at any time. No refunds will be issued upon cancellation. Your access to the Services will continue until the end of your current billing cycle.

5. Acceptable Use Policy

You agree not to use the Services for any unlawful or prohibited activities, including but not limited to:

  • Engaging in fraudulent activities.
  • Violating any applicable laws or regulations.
  • Transmitting harmful or malicious code.
  • Infringing on the rights of others.

6. User Content

  • Ownership: You retain all rights to the content you create, including invoices and business data.
  • License: By using our Services, you grant us a non-exclusive, worldwide license to use, store, and process your content solely for the purpose of providing the Services.

7. Intellectual Property Rights

All content and materials on the Website, excluding User Content, are owned by the Company and are protected by copyright, trademark, and other intellectual property laws.

8. Privacy

Our collection and use of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Limitation of Liability

  • Disclaimer: We strive to provide accurate tax rates and calculations based on provincial rates. However, we do not guarantee the accuracy or completeness of this information. You are responsible for verifying all tax-related information.
  • Limitation: To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits or data.

10. Indemnification

You agree to indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the Services or violation of these Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

12. Dispute Resolution

Any disputes arising out of or in connection with these Terms shall be resolved by binding arbitration in Ontario, Canada, in accordance with the rules of the Canadian Arbitration Association.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on the Website. Your continued use of the Services constitutes acceptance of the revised Terms.

14. Intuit QuickBooks Integration

Certain features allow you to connect your account with Intuit QuickBooks. By enabling this integration, you authorize us to share relevant data with Intuit to facilitate synchronization. Your use of QuickBooks is governed by Intuit's own terms of service and privacy policy. We do not control Intuit's services and are not responsible for their content or actions. Intuit, QuickBooks, and related marks are trademarks of Intuit Inc.
